CIRCULAR
PRESCRIBING TEMPLATES FOR DOCUMENTS AND REPORTS RELATED TO INVESTMENT ACTIVITIES IN VIETNAM, OUTWARD INVESTMENT ACTIVITIES AND INVESTMENT PROMOTION ACTIVITIES
Pursuant to the Law on Investment No. 61/2020/QH14 dated June 17, 2020;
Pursuant to the Government’s Decree No. 31/2021/ND-CP dated March 26, 2021 on elaboration of some Articles of the Law on Investment;
Pursuant to the Government’s Decree No. 86/2017/ND-CP dated July 25, 2021 defining the functions, tasks, powers and organizational structure of the Ministry of Planning and Investment;
At the request of the Director of the Foreign Investment Agency;
The Minister of Planning and Investment hereby promulgates a Circular prescribing templates for documents and reports related to investment activities in Vietnam, outward investment activities and investment promotion activities.
Article 1. Scope
This Circular prescribes templates for documents and reports related to investment activities in Vietnam, outward investment and investment promotion activities.
Article 2. Regulated entities
1. Investors carrying out investment activities in Vietnam and investors carrying out outward investment activities.
2. Agencies having the power to perform state management of investment regarding investment activities in Vietnam, outward investment activities and investment promotion activities.
3. Other organizations and individuals related to investment activities in Vietnam, outward investment activities and investment promotion activities.
Article 3. Templates for documents and reports related to investment activities in Vietnam, outward investment activities and investment promotion activities
1. Templates for documents and reports related to investment activities in Vietnam are provided in the Appendix A.
2. Templates for documents and reports related to outward investment activities are provided in the Appendix B.
3. Templates for documents and reports related to investment promotion activities are provided in the Appendix C.
Article 4. Guidelines for signing documents and reports
1. In case of making investment in the form of establishing a business organization in Vietnam: before establishing a business organization, investors shall sign documents serving investment procedures; after establishing a business organization, the business organization’s legal representative shall sign documents serving investment procedures.
2. In case of making investment in the form of capital contribution or purchase of shares or stakes in Vietnam, foreign investors contributing capital or purchasing shares or stakes and legal representative of the business organization to which foreign investors contribute capital or whose shares or stakes are purchased by foreign investors shall sign documents serving investment procedures.
3. In case of making investment in the form of capital contribution or purchase of shares or stakes in Vietnam, foreign investors contributing capital or purchasing shares or stakes and legal representative of the business organization to which foreign investors contribute capital or whose shares or stakes are purchased by foreign investors shall sign documents serving investment procedures.
4. The investors specified in Article 68 of the Government’s Decree No. 31/2021/ND-CP registering outward investment shall sign documents and reports related to outward investment activities.
Article 5. Responsibility for implementation
Agencies having the power to perform state management of investment regarding investment activities in Vietnam, outward investment activities and investment promotion activities, investors carrying out investment activities in Vietnam and outward investment activities, organizations and individuals carrying out investment promotion activities and relevant organizations and individuals are responsible for the implementation of this Circular.
Article 6. Implementation clause
1. This Circular comes into force from the day on which it is signed and supersedes the Circular No. 16/2015/TT-BKHDT dated November 18, 2015 and Circular No. 03/2018/TT-BKHDT dated October 17, 2018 of the Minister of Planning and Investment.
2. Difficulties that arise during the implementation of this Circular should be reported to the Ministry of Planning and Investment for instructions./.
